Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services operated by Paraph Labs ("Paraph Labs," "we," "us," or "our"), including ParaphLabs.com (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

2. Eligibility

You must be able to form a binding contract under applicable law to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and access

Some Services may require an account. You are responsible for safeguarding your credentials and for activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

4. Acceptable use

You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent purposes
  • Attempt to gain unauthorized access to our systems, other accounts, or non-public areas of the Services
  • Interfere with or disrupt the Services, including through malware, abuse of APIs, or excessive automated requests
  • Copy, scrape, reverse engineer, or misuse content or features except as allowed by law or with our written permission
  • Misrepresent your identity or affiliation when communicating with us or using the Services

5. Intellectual property

The Services, including software, design, text, graphics, logos, and trademarks, are owned by Paraph Labs or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services as offered, no rights are granted to you. You may not use our name, logo, or marks without prior written consent.

6. User content

If you submit feedback, ideas, or other content to us, you grant Paraph Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and incorporate that content to operate and improve the Services. You represent that you have the rights needed to grant this license and that your content does not violate others' rights.

7. Third-party services

The Services may link to or integrate with third-party websites or tools. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAPH LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAPH LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Paraph Labs from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms.

11. Termination

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms or if we discontinue a Service. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, unless mandatory local law provides otherwise. Courts in that jurisdiction will have exclusive venue for disputes, except where prohibited.
